Terms of Use and General Terms of Sale

These Terms of Use and General Terms of Sale (the “Terms”) govern the use of the Hobiex B2B portal at b2b.hobiex.com (the “Portal”) and every sale of goods ordered through it. By registering, using the Portal or placing an order, you accept these Terms on behalf of the company you represent.

Part A — Terms of Use

1. Definitions

• Hobiex: Hobiex Otomotiv A.Ş..
• Customer: a business whose application to use the Portal Hobiex has approved.
• User: a person who accesses the Portal, including on behalf of a Customer.

2. Business customers only

The Portal and all sales through it are intended exclusively for merchants and businesses acting for commercial or professional purposes. It is not offered to consumers. Consumer protection rules, including Law No. 6502 on Consumer Protection and the Distance Contracts Regulation, therefore do not apply. By registering, you confirm that you act for a business and are authorised to bind it.

3. Registration and accounts

• Hobiex may accept or reject an application at its discretion, without giving reasons.
• You must give accurate and complete information and keep it up to date.
• Keep your password confidential. The Customer is responsible for all actions taken with its users’ credentials. Tell us immediately if you suspect unauthorised use.
• Hobiex may suspend or close an account, or lock a Customer, if these Terms are breached, payments are overdue or security requires it.

4. Acceptable use

You must not:

• use the Portal unlawfully or for any purpose other than buying from Hobiex;
• copy, scrape or systematically extract the catalogue, prices or other content by automated means;
• interfere with the Portal’s security or operation, or introduce malicious code;
• access accounts, data or areas you are not authorised to access;
• pass on your prices or login credentials to third parties.

5. Product information, trademarks and OEM references

Hobiex parts are aftermarket replacement parts. Vehicle manufacturer names and original equipment (OEM) part numbers are shown for reference only, to identify the vehicles and original parts that a Hobiex part replaces. They do not mean that Hobiex parts are original parts or that Hobiex is affiliated with those manufacturers. All trademarks belong to their owners. Images are illustrative. The Customer must check that a part fits the intended vehicle before ordering and installing it.

6. Prices and availability shown on the Portal

Prices are shown excluding VAT and other taxes unless stated otherwise. Where no price is shown, prices are available on request. Stock levels are indicative and are not reserved until an order is accepted. Amounts converted into another display currency are for information only. Invoices are issued in the currency agreed with the Customer. Hobiex may correct obvious errors in prices or product data, including in orders that have not yet been accepted.

7. Chat assistant and automated tools

The chat assistant and the bulk order document reader use artificial intelligence. Their output may be incomplete or wrong and is not a binding offer, confirmation or advice. Check it before you rely on it. The order you submit is binding, not the assistant’s suggestion.

8. Intellectual property

All Portal content, including catalogue data, texts, images, design and software, belongs to Hobiex or its licensors. You receive a non-exclusive, non-transferable right to use it only to buy from Hobiex.

9. Confidentiality

Customer-specific prices, conditions and account information are confidential. The Customer must not disclose them to third parties unless required by law.

10. Availability and liability

Hobiex aims to keep the Portal available but does not guarantee uninterrupted or error-free operation, and may change, suspend or discontinue it. To the extent permitted by law, Hobiex is liable for slight negligence only for foreseeable, typical damage, up to the net value of the order concerned, and is not liable for indirect damage or lost profit. Nothing in these Terms limits liability for intent or gross negligence, for death or personal injury, or where liability cannot be limited under mandatory law.

Part B — General Terms of Sale

12. Scope and precedence

These terms apply to all sales by Hobiex through the Portal. A separate written agreement between Hobiex and the Customer, such as a distribution agreement, prevails over them. The Customer’s own general terms do not apply, even if Hobiex does not object to them.

13. Orders and conclusion of the contract

To order, you add products to the cart, review the cart, enter or select the delivery details and submit the order. Until you submit, you can correct quantities and details in the cart and at checkout. Submitted orders are stored and shown under “Order history” in your account, which confirms their receipt. The ordering process is available in Turkish, English and the other languages offered on the Portal.

A submitted order is an offer to buy. The contract is concluded when Hobiex accepts the order, by confirming it on the Portal or by e-mail or by shipping the goods. Hobiex may decline an order or accept it in part, for example because of availability, credit limits, required approvals, sales restrictions or errors.

14. Prices and payment

The price list and customer-specific prices valid when the order is accepted apply, excluding VAT and other taxes, in the agreed currency. Payment terms, currency and credit limits are those agreed with the Customer. Where none are agreed, the following applies: [TBD: default payment term, e.g. payment in advance]. Late payments bear default interest under Article 1530 of the Turkish Commercial Code and Law No. 3095. Hobiex may withhold deliveries while payments are overdue.

15. Delivery and transfer of risk

Delivery terms are those in the order confirmation or the Customer’s agreement, or otherwise [TBD: default Incoterm, e.g. EXW Silivri, Istanbul] (Incoterms® 2020). Risk passes to the Customer as set out in the applicable Incoterm. Delivery dates are estimates unless expressly agreed as binding. Partial deliveries are permitted.

16. Inspection and notice of defects

Under Article 23 of the Turkish Commercial Code, the Customer must notify Hobiex in writing of apparent defects within 2 days of delivery. Goods that are not obviously defective must be inspected within 8 days of delivery, and any defect found must be notified within those 8 days. Hidden defects must be notified immediately after discovery. Goods for which no timely notice is given are deemed accepted. Transport damage must also be noted on the delivery documents.

17. Warranty

Hobiex warrants its products against material and manufacturing defects for [TBD: warranty period, e.g. 12 months] from delivery. The warranty does not cover normal wear, incorrect installation, installation not in line with the vehicle manufacturer’s instructions, use in vehicles the part is not intended for, modification, misuse or accident. For defective products, Hobiex will, at its option, repair or replace them or issue a credit note. This does not affect rights that cannot be excluded under mandatory law.

18. Returns

Returns other than warranty claims require Hobiex’s prior written approval. Approved returns must be unused, in their original packaging and sent with the invoice reference. Hobiex may issue a credit note instead of a refund.

19. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, epidemics, government measures, strikes, supply chain or transport disruptions, for as long as the event continues.

Part C — General provisions

20. Changes to these Terms

Hobiex may change these Terms. The current version and its date are always shown on this page. We will inform registered users of material changes on the Portal or by e-mail. Changes apply to orders placed after the new version takes effect.

21. Evidence

Hobiex’s electronic records, including Portal, e-mail and ERP records, constitute evidence within the meaning of Article 193 of the Turkish Code of Civil Procedure No. 6100.

22. Governing law and jurisdiction

These Terms and all contracts concluded through the Portal are governed by the laws of the Republic of Türkiye. Subject to mandatory mediation rules, the Istanbul Central (Çağlayan) Courts and Enforcement Offices have jurisdiction.

23. Language

These Terms are available in Turkish and English. In case of any discrepancy, the Turkish version prevails.
